Job Description:

We are looking for an experienced and driven attorney to serve as Senior Counsel for Honeywells UOP business in the Americas.

 

The successful candidate will provide counsel to senior management within the company, draft and negotiate complex international agreements with customers, coordinate with outside counsel to handle customer project financing deals and disputes, and provide compliance trainings to internal customers. In this role, you will anticipate and mitigate potential legal problems within the organization and develop strategies to avoid costly litigation and reduce potential areas of risk. Additionally, you will be tasked with developing internal legal and compliance processes, procedures, and strategies. 

 

Key Responsibilities:

• Drafting Licensing Agreements, Engineering Agreements, Guarantee Agreements, Alliance Agreements and other forms of collaboration with clients, customers, suppliers and other key counterparties.

• Drafting and negotiating Commercial Agreements, Distributorship Agreements and Sale and Purchase Agreements.

• Provide strategic legal advice to internal stakeholders including Sales, Business and other leaders to help sell new products and offerings, enter new markets and reduce legal exposure.

• Negotiate agreements with external customers.

• Provide compliance trainings and guidance on antibribery & anticorruption, sanctions, export controls, and antitrust/competition law.

• Interpret new laws and regulations and their impacts on the business.

• Provide coaching and development for junior lawyers.

• Perform due diligence work and otherwise identify risks to the business.

YOU MUST HAVE

• Juris Doctor degree (JD) or LLM from an accredited U.S. law school.

• At least 5+ years at a law firm or in-house law department.
