Job Summary: 

This attorney will be part of the U.S. Legal and Compliance team in a generalist role and the North American lead for anti-bribery and corruption and ethics & compliance for the Helicopters division. With regard to the latter, this position has primarily responsibility for directing, managing, and coordinating activities regarding anti-bribery and corruption and ethics compliance policies, programs, and implementation for Airbus Helicopters, Inc. (the “Company”) and Airbus Helicopters Canada Ltd. (“AHCA”) (collectively, “Airbus Helicopters North America” or “AHNA”). This attorney will be responsible for advising internal and external customers and suppliers, as well as Airbus colleagues worldwide, on U.S. legal and compliance matters. In addition, the attorney must be ready to handle anything and everything that walks through the door.

Primary Responsibilities:

Ethics & Compliance Management: 25

  • Provide operational leadership and strategic direction to enhance and sustain the Ethics & Compliance program for Airbus Helicopters North America.  Responsible for creating and leading program assessments, developing and executing action plans, and championing the program.  Requires regular interaction with and advice to other functions, including, but not limited to, Sales & Marketing, Military Programs, Strategy & Transformation, Commercial Programs, Procurement, Finance, and Human Resources.
  • Promote, enhance, and sustain a training program relating to Airbus Group Ethics & Compliance and anti-bribery and corruption policies/directives, methods and initiatives in order to promote a strong ethical culture consistent with Airbus Values, Code of Conduct, and Speak Up principles and to ensure awareness of the Ethics & Compliance program.
  • Provide training and guidance on and handle compliance with Airbus tools for group Ethics & Compliance and anti-bribery and corruption policies/directives and methods, including, but not limited to, Gifts & Hospitality, Sponsorship, Donations & Corporate Memberships, Anti-Money Laundering/Know Your Customer, Supplier Compliance Review/Know Your Supplier, and Conflicts of Interest.
  • Monitor changes to Airbus Ethics & Compliance and anti-bribery and corruption policies/directives and methods, including the implementation of new policies/directives and methods on additional subjects, communicate such changes and additions to applicable AHNA personnel and ensure such information is cascaded as needed, and prepare, handle, and/or refine Company or AHCA practices and procedures implementing existing and new policies/directives and methods.
  • Maintain AHNA Ethics & Compliance library on intranet Document Center with current versions of applicable group, divisional, or regional policies/directives, methods, forms, and other applicable documents.
  • Continuously monitor Airbus and external resources for changes in U.S. federal, state, and local laws and regulations pertaining to Ethics & Compliance and anti-bribery and corruption matters and communicate such changes to affected Company personnel and support similar efforts for AHCA.

Third Party and Transactions Management: 25

  • Direct and implement compliance by AHNA with Airbus and Airbus Helicopters policies/directives, methods, processes & guidelines with respect to Third Party and Transactions Management (as defined in such policies/directives and including, but not limited to, sales intermediaries, lobbyists/special advisors, distributors, resellers, mergers & acquisitions, partnerships, joint ventures, and teaming agreements), as tailored to U.S. or Canadian laws, regulations and cultural norms.
  • Promulgate procedures and practices to ensure that AHNA aligns with foregoing Third Party and Transactions Management requirements.
  • Coordinate and handle data collection, due diligence reviews, and risk evaluations to obtain requisite approvals for origination or renewal of engagements of sales intermediaries, lobbyists/special advisors, and distributors/resellers in accordance with applicable Third Party Management policies/directives.
  • Draft and negotiate contracts with duly approved Third Parties.
  • Lead compliance with applicable Airbus/Airbus Helicopters policies/directives and methods on payment of Third Parties, including obtaining approval of invoices in Airbus eNESS tool when required.
  • Coordinate and handle data collection, due diligence reviews, and risk evaluations to obtain requisite approvals for mergers & acquisitions, partnerships, joint ventures, teaming agreements, and any other covered arrangements in accordance with applicable Transaction Management policies/directives.
  • Draft, negotiate, and/or provide legal advice with respect to contracts for transactions subject to group or divisional Transaction Management policies/directives.
  • Handle, if requested, and support post-merger/acquisition implementation of Airbus anti-bribery and corruption and Ethics & Compliance programs at any acquired entity.
  • Develop and sustain a training program and tools to promote awareness of and compliance with these Third Party and Transaction Management requirements among all affected employees and senior AHNA management.

Risk Management: 15

  • Lead, in coordination with the Company’s Head of Legal & Compliance and US OneRoof Human Resources management, the investigation of matters relating to the Company reported to Airbus OpenLine, any resulting corrective or remedial action, and any related reporting to Airbus North America One Roof compliance organization.
  • Manage reporting of Company and AHCA investigations in the Alert Management Module (AMM) of Airbus My Integrity platform in accordance with applicable Airbus group requirements.
  • Direct and lead procedures to detect, investigate, and remediate non-compliance.  Prepare and coordinate disclosures to U.S. governmental authorities, as necessary, in conjunction with other members of the Legal & Compliance department and/or affected functions.
  • Support preparation of Compliance portions of proposal presentations to Airbus Helicopters Finance Committee or other reviewing entities.
  • Perform compliance assessments, as required, in accordance with Anti-Money Laundering/Know Your Customer and Supplier Compliance Review/Know Your Supplier directives and methods.
  • Represent the Company or AHNA, as requested, in Ethics & Compliance or anti-corruption associations and other outside forums and with government departments and agencies, as necessary, in coordination with the Company’s Head of Legal & Compliance.
  • Coordinate risk assessments and serve as the Company’s focal point pertaining to anti-bribery and corruption and Ethics & Compliance as part of the Airbus Enterprise Risk Management system.

Support Management: 10

  • Develop and maintain strong collaborative relationships with Airbus North America One Roof and Airbus Helicopters compliance organizations, as well as with compliance personnel at Airbus headquarters and in other Airbus companies in North America.
  • Advise, instruct, and support Ethics & Compliance Representatives (ECRs) for the Company and AHCA and identify new, additional, or replacement ECRs, as needed, and support their appointment and induction into the Airbus ECR network.
  • Establish, implement, and monitor appropriate metrics to measure the effectiveness and continuous improvement of the Ethics & Compliance program for AHNA.  Prepare reports for the Company’s Head of Legal & Compliance or other AHI or AHCA senior leadership, as requested.
  • Assist with group, divisional, or regional initiatives to establish or implement focus groups or similar associations with customers, suppliers, or other third parties to exchange on anti-bribery and corruption or Ethics & Compliance programs, procedures, or processes.
  • Identify and manage Ethics & Compliance resource requirements for budgeting and execution.

Provide &39;One-Roof&39; Legal Support to: 15

  • Business functions, including Sales, Contracts, Civil Programs, Support & Services, Industry, and Engineering.
  • Shared Services functions, including Finance, Procurement, Human Resources, Government Relations, Safety, Quality, Information Management, Strategy & Transformation, and Communications.
  • All sites and affiliates in US and Canada and Europe-based affiliates, as requested, on U.S. matters.

Claims & Litigation Support/Other Legal Support: 10

  • Assist with the prosecution or defense of any formal legal claims brought by or against the Company or AHCA as directed by the Company’s Head of Legal & Compliance, including, but not limited to, assisting with the issuance and implementation of litigation holds and with the collection and provision of relevant information and documentation, as well as the identification of subject matter experts and fact witnesses, to respond to discovery requests.
  • Draft, negotiate, and/or provided legal advice on contracts to support sales and procurement of products and services and assist with the licensing of software and protection of the Company&39;s intellectual property and data.
  • Perform other assignments relating to legal support of projects, transactions, initiatives, or other matters for the Company or AHCA, as advised by the Company’s Head of Legal & Compliance.
