Job Summary: The Corporate Transactional Attorney will work with AerSales legal team to assist them with aviation contracts (purchase, sale and lease of airframes, engines, components and parts) FAA and other regulatory compliance matters and other transactional and corporate matters as needed.

Essential Duties & Responsibilities:

  • The position will report directly to the General Counsel.
  • Primarily, the position will involve negotiating and managing various aviation corporate contracts matters (domestic and international) including the purchase, sale and lease of airframes, engines, components and parts, finance transactions, contract template development, contract management duties and other transactional matters as needed.
  • Ability to draft, review and negotiate a variety of business contracts, including aircraft and aircraft engine purchase and sale contracts, aircraft lease agreements and associated finance transactions, MRO services agreements, product distribution and supply contracts, confidentiality contracts and contractor contracts.
  • Preferred knowledge of aviation insurance and government contracting.
  • Provide legal support to a global marketing and transaction team.
  • Improve and develop standard form and template contracts in coordination with the department contract management system.
  • Develop forms and rules to support the organization business functions and transactional process.
  • Review, interpret and maintain compliance with Federal Aviation Administration and other governmental regulatory matters in the aviation industry.
  • Additional opportunities to support the legal department and engage in litigation, corporate governance, insurance and real estate matters.
  • Assist with the management of outside counsel and insurers when/if relevant.
  • Desire to work in negotiating, management of business contracts and implementation of contract management processes, procedures, and contract IT systems.
  • Exposure to and interest in the aviation and aerospace industry a plus.

Education and Experience:

  • Juris Doctorate Degree
  • 7+ years of relevant business and industry experience
  • Aviation contracting, leasing and finance experience with a law firm or from an in-house aviation company
  • Exceptional negotiation, interpersonal, and legal skills combined with extensive commercial acumen

Skills & Abilities:

  • Strong computer skills (MS Word, Excel, SharePoint), exposure to contract management systems is a plus.
  • Excellent verbal and written communication skills.
  • High standards of ethical conduct.
  • Ability to work well under pressure.

Physical Requirements:

  • Requires prolonged periods of sitting at desk.
  • Must be able to use hands and arms for repetitive movements, such as movement of wrists, hands, fingers while typing.
  • May occasionally be required to lift and carry up to 10lbs.
