Position Summary:

The Head of Legal, Compliance and Contracts for VAS Aero Services (VAS) is responsible for: (1) managing and mitigating all legal, compliance and contracts risks and issues for the company and its local and global subsidiaries, (2) the governance of the VAS companies in accordance with Airbus policies and procedures, (3) providing strategic support to the VAS CEO and senior leadership team, and (4) leading the VAS legal, compliance and contracts team. The Head of Legal & Compliance is a part of senior leadership for VAS and the regional and parent company Legal, Compliance and Contracts teams.


A. Accountabilities

  • The jobholder is responsible for managing and mitigating all legal risks and compliance issues for VAS and leading a cross-functional team of legal operations, contracts and compliance (including export control) professionals as well as supervising external law firms. The jobholder directly supports the CEO and senior executives by advising on all legal, regulatory, compliance, contracts and strategic matters.
B. Dimensions
  • The jobholder manages a legal, compliance and contracts team of two (2) professionals supporting currently in excess of $100MM annually with seventy (70) employees. Examples include negotiating and managing legal and contractual aspects of establishing and running aircraft distribution, consignment and leasing operations in Florida, Seattle and the U.K., as well as internationally.

 

C. Main activities
  • Manage the VAS team and legal matters involving outside counsel.
  • Lead and support transactions, including [aircraft and aircraft part sales and finance matters, procurement, and other activities as designated by the CEO.
  • Lead and support formal litigation, arbitration and pre-dispute matters in coordination with regional and parent company Heads of Legal.
  • Manage U.S. legal issues associated with strategic or industrial activities.
  • Act as an officer (such as Secretary) as requested and be responsible for maintaining minutes of meetings, books and records for all legal entities.
  • Support the Ethics & Compliance and trade compliance program implementation and related matters as required by the parent company.
  • Responsible for investigating and mitigating any material compliance issues.
  • Provide counsel and direction on employment law and compliance. Direct compliance investigations and interface with the respective federal, state and local agencies.
D. Outputs
  • The jobholder will lead the team to ensure superior service levels to the business and help the company improve efficiencies in line with company-wide initiatives. Jobholder&39;s primary key deliverable is strategic, focused and well-reasoned legal and compliance advice to the business units. This business-critical legal advice is delivered cross-functionally in the areas of commercial transactions, ethics and compliance, corporate governance, regulatory and government matters, mergers and acquisitions, and employment and labor law.
  • Specifically, the jobholder will develop and provide local and centralized training (BDSI, E&C, document retention, OpenLine, etc.) across all business units; deploy consistent and standardized E&C policies and risk assessments across North America; deliver favorable results in disputes and litigation; support divestiture activities and North America Industrial Footprint projects; and provide consistent leadership on key US regulatory and rulemaking matters. The jobholder will continue to support the digital transformation projects by assisting with digitalization efforts, developing cyber breach incident response plans and commercial contract strategy for data processing suppliers, and supporting innovation projects
  • Jobholder will foster a &34;One Team&34; spirit within the team and ensure coordination with the regional and parent Legal and Compliance functions. Jobholder will drive the visibility and influence of Legal and Compliance throughout all VAS business units.
