The contracts & risks group is looking to hire an experienced legally trained professional to draft and negotiate sophisticated agreements in various sectors, most notably in the information technology sector between CAE and its suppliers. Based in Montreal, this individual will be a key member of the Contracts & Risks team supporting the Global Civil and will report to the Global Strategic Sourcing organization.

Main responsibilities:

  • Define the legal and contractual risk mitigation strategy for negotiating contracts including but not limited to indemnification, liabilities, warranties and other such terms.

  • Draft, review, comment, and negotiate different types of contracts and agreements related to all CAE business units of the company and its subsidiaries, mainly in the areas of procurement, including for example Software as a Service (SAAS) agreements, license agreements, contracts for acquisitions of goods & services, memorandum of agreements, letters of intent and partnerships agreements.

  • Provide expert recommendations and advice to commercial procurement teams, divisions and various CAE departments on all contractual issues related to supply and joint collaborations with a focus in Intellectual Property and Digital licensing.

  • Provide advice on the interpretation of laws and regulations applicable to the companys activities.

  • Conduct legal research on a variety of topics in multiple jurisdictions when required.

  • Lead the development and implementation of various contract templates and best practices including but not limited to digital and software licensing in line with anticipated growth in the digital and new technology company wide transformation

  • Participate in the development of tools (including training tools) for the global strategic sourcing department

The successful candidate shall have:

To be successful in the position, the candidate must have a history of demonstrating the following qualities or skills:

  • University degree in law or relevant equivalent experience

  • Two at five (2-5) yearsu2019 experience working in a law firm or a corporation, including experience in the negotiation of licensing agreements, intellectual property, commercial transactions and drafting of commercial agreements.

  • Sound judgment with good business acumen.

  • Results-driven and customer-focused mind-set with strengths in collaborating with internal and external stakeholders.

  • Strong organizational skills.

  • Ability to work collaboratively within a team and develop strong cooperative and supportive relationships.

  • Good drafting skills and attention to details.

  • Autonomy to manage multiple tasks and effective priority management skills.

  • Ability to work with a diverse clientele and adapt to a variety of situations and individuals.

  • Tendency to take initiative and have a proactive attitude.

  • Ability to work under pressure, in a dynamic and fast-paced environment, often under tight deadlines, and to demonstrate composure in sensitive situations.

  • Good work ethic and good communication skills.

  • Agile in the use of digital tools such as MS Office (Power Point, Excel, Outlook). PDF, SAP Ariba.

  • Billingual (French and English), both orally and in writing.
